Platform Terms of Service
Carefully read the Master Service Agreement (MSA) provisions. These terms constitute the legal backbone of our engineering contracts and represent our enterprise guarantees.
1. Acceptance and Execution
By engaging EDIFITION INDIA PRIVATE LIMITED. ("Company," "we," or "us") you are bound by our standard strict Master Service Agreement (MSA) clauses detailed herein. A formal Statement of Work (SOW) executed over email or signature software constitutes full acceptance of these global execution parameters. If these terms conflict with a bespoke enterprise contract signed by an authorized director, the bespoke contract supersedes these digital terms.
2. Absolute IP Ownership Guarantee
Most engineering firms utilize "Work for Hire" clauses vaguely to retain leverage. We deploy an absolute Intellectual Property (IP) transfer model.
- Upon the successful clearing of the related milestone invoice, 100% of the codebase, architectural diagrams, AWS infrastructure, and design assets are legally transferred to your entity.
- EDIFITION claims zero equity, royalties, or ongoing licensing fees for custom-built software architectures unless explicitly structured as a joint-venture in writing.
3. Operational SLAs & Liability
Enterprise tiers guarantee a 99.9% uptime Service Level Agreement (SLA) when EDIFITION manages the final hosting framework. Any lapse exceeding the stated downtime tolerance will result in proportional service credits applied to future retainers.
Limitation of Liability: In no event shall EDIFITION INDIA PRIVATE LIMITED be liable for indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the delivered custom software; (ii) any conduct or content of any third party on the service.
4. Data Privacy & Zero-Trust
We architect systems matching SOC2 Type II compliance standards by default. We never access your unencrypted Personally Identifiable Information (PII) production data unless explicitly permitted by your security team during an active, high-severity incident response Phase (P0).
5. Governing Law & Jurisdiction
These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal suites, actions, or proceedings arising out of this Master Service Agreement shall be exclusively instituted in the competent courts located in Hyderabad, Telangana, India.
